    CONNECTED TRANSACTION                                                     
                                                                              
    The Board is pleased to announce that on 10 January 2005, the             
    Company entered into the Agreement with Weigao Holding, a controlling     
    shareholder of the Company who owns 62.46% interest in the Company,       
    pursuant to which the Company has agreed to acquire and Weigao            
    Holding has agreed to sell the Property at the Consideration of           
    RMB9,000,000 (equivalent to approximately HK$8,490,000). The              
    Agreement entered into between the Company and Weigao Holding             
    therefore constitutes a connected transaction under Chapter 20 of the
