    A circular containing, among other things, details of the Non-exempt      
    Continuing Connected Transactions and the annual caps relating            
    thereto, the recommendations of the independent board committee and       
    the advice of the independent financial adviser to the independent        
    board committee will be dispatched to the Shareholders as soon as

    PRINCIPAL ACTIVITIES OF THE GROUP                                         
    The principal activities of the Group consist of the import and           
    distribution of cement in Hong Kong and cement handling services in       
    the Philippines, and the manufacturing and distribution of cement and     
    slag powder in Mainland China. Through its associated companies, the      
    Group is also engaged in the production and distribution of               
    ready-mixed concrete in Hong Kong and Mainland China.
