Mr Su worked as a lecturer at Beijing Institute of Construction Industry (currently known as Wuhan Polytechnic University), the deputy manager of the equipment design office, person in charge and chief engineer of the production planning office of Qinhuang Island Glass Industrial Research and Design Institute. Mr Su is currently the honorary committee member of the State Construction Material Industrial Technology Education Committee and the deputy director of the PRC Construction Material Economic Research Society. Mr Su has not held any directorship in other listed companies in the past three years from the date of this announcement. Mr Su does not have any relationship with any other Directors, senior management, substantial shareholders (as defined in the Listing Rules), or controlling shareholders (as defined in the Listing Rules) of the Company. Mr Su does not have any interests in shares of the Company within the meaning of Part XV of the SFO. Mr Su has not entered into any service contract with the Company in which any director's fee or other emoluments were specified and Mr Su will not be entitled to any bonus. The director's fee of Mr Su, if any, will be determined subsequent to the EGM by reference to the current emoluments of other independent non-executive Directors. APPOINTMENT OF NEW SUPERVISORS In order to comply with the requirement of the relevant PRC laws and regulations in respect of corporate governance of listed issuers in the PRC, which provide that the number of staff representatives should comprise not less than one-third of the total number of supervisors of the listed issuers, Mr Mao Jun Chun and Mr Yang Kuang were appointed as the two new staff representatives of the Supervisory Committee at a staff meeting held on 18 December 2004. The appointment of both Mr Mao and Mr Yang will become effective upon approval by the Shareholders at the EGM to increase the number of members of the Supervisory Committee. Their term of appointment will end upon the expiry of the term of appointment of the second session of the Supervisory Committee, which will be the expiry date of three years from the date of the annual general meeting of the Company for the year 2003. Mr Mao Jun Chun, aged 30, is the manager of the Company's quality control department and he is an engineer. Mr Mao graduated from Shenyang Industrial Institute with a major in chemistry in 1996. Mr Mao joined the Company in July 1996 and has been responsible for quality control work. He had worked as the person in charge of the laboratory of the Company's quality control department, the head of the quality control division, person in charge of the testing centre and finally the manager of the quality control department of the Company. Mr Mao has not held any directorship in other listed companies in the past three years from the date of this announcement. Other than being an employee of the Group, Mr Mao does not have any relationship with any other Directors, senior management, substantial shareholders (as defined in the Listing Rules), or controlling shareholders (as defined in the Listing Rules) of the Company. Mr Mao does not have any interests in shares of the Company within the meaning of Part XV of the SFO. Mr Mao has not entered into any service contract with the Company in which any emolument for his position as a supervisor was specified and Mr Mao will not be entitled to any bonus. The emolument, if any, of Mr Mao as a supervisor of the Company, will be determined subsequent to the EGM by reference to the current emoluments of other supervisors of the Company. Further announcement will be made by the Company when the emolument of Mr Mao as a supervisor of the Company is determined. Mr Yang Kuang, aged 32, is the manager of the Company's production department and he is an engineer. Mr Yang graduated from Wuhan Industrial University in 1996. Mr Yang joined the Company in 1996 and has been involved in the construction of production lines and in the process of glass production of the Company. He worked as an officer-in-charge of the united production plant, head of production technician and the manager of the production department of the Company. Mr Yang has not held any directorship in other listed companies in the past three years from the date of this announcement.
