    Exchange of share certificates                                            
    Upon the Share Consolidation becoming effective,                          
    Shareholders may submit the existing share                                
    certificates in exchange for the new share                                
    certificates for the Consolidated Shares free of                          
    charge to the office of the Company's branch share                        
    registrar, Tengis Limited located at Ground Floor,                        
    Bank of East Asia Harbour View Centre, 56 Gloucester                      
    Road, Wanchai, Hong Kong, during the business hours                       
    of Tengis Limited from 30 December 2004 to 7 February                     
    2005. Thereafter, certificates for the Existing                           
    Shares will be accepted for exchange only on payment                      
    of a fee of HK$2.50 or such higher amount as from time                    
    to time be determined for each new share certificate                      
    issued.                                                                   
                                                                              
    Adjustment of subscription price of the share options                     
    Upon the Share Consolidation becoming effective, the                      
    subscription price of the issued existing share                           
    options granted under the employee share option                           
    schemes adopted on 4 December 2003 and 13 December                        
    1996 will be adjusted as appropriate, in accordance                       
    with the respective terms and conditions. The                             
    adjustments will be reviewed by the Company's auditor                     
    and details of the adjustments will be disclosed in                       
    the circular of the Company to be despatched to                           
    Shareholders.                                                             
                                                                              
    GENERAL                                                                   
    A circular containing, among other matters, details                       
    of the Share Consolidation and the notice of the SGM                      
    will be despatched to the Shareholders as soon as
