    The Stock Exchange has received a message from NewOcean Green Energy      
    Holdings Limited which is reproduced as follows-                          
                                                                              
    "Odd lots arrangement relating to the Share Consolidation                 
                                                                              
    Where the Share Consolidation gives rise to fractions of a share, such    
    fractional shares will be disregarded. All such fractional entitlement to 
    the Consolidated Shares will be aggregated, sold and retained for the     
    benefit of the Company.                                                   
                                                                              
    In respect of odd lots of Consolidated Shares arising from the change in  
    board lot size, the Company has appointed Kingsway to arrange for the sale
    and purchase of odd lots on behalf of the Shareholders from 23rd November,
    2004 to 14th December, 2004 (both days inclusive).  Shareholders who wish 
    to acquire odd lots of Consolidated Shares to make up a full board lot, or
    to dispose of their holdings of odd lots of Consolidated Shares may       
    directly or through their own brokers contact Mr. Aman Cheung of Kingsway 
    at the telephone number (852) 2877 1830 during such period. Shareholders  
    should note that the matching service is on a "best efforts" basis only   
    and successful matching of the sale and purchase of odd lots of           
    Consolidated Shares is not guaranteed and will depend on there being      
    adequate amounts of odd lots of Consolidated Shares available for such    
    matching."
