    DELAY IN DESPATCH OF CIRCULAR AND UPDATE OF INFORMATION                   
    IN RELATION TO                                                            
    DISCLOSEABLE TRANSACTION                                                  
                                                                              
    References are made to the Company's announcement dated                   
    2 January 2003 in relation to the Land Acquisition                        
    Agreement. The Company has applied to the Stock Exchange                  
    for a waiver of Rule 19.36 of the GEM Listing Rules for                   
    delay in despatch of the Circular until 30 January 2003.                  
    The delay is due to the Company renegotiating the payment                 
    terms of the Land Acquisition Agreement with the Vendor                   
    and it is noted that a supplemental agreement in relation                 
    to the amendment of the payment terms of the Land                         
    Acquisition Agreement as set out in the Company's                         
    announcement dated 2 January 2003 is expected to be entered               
    into by the Company and the Vendor on or before 29 January
