    to  Total  Logistics that it has priority in the provision of certain     
    services  which  E-seg Online itself does not have the capability to      
    provide  including:  (i) the provision of internet related technical      
    and  software services (software provision services, technical support    
    services  and  technology development services in relation to network     
    and  website  building  of  E-seg Online), (ii) management services       
    (website  operation management services for E-seg Online), (iii) cargo    
    examination  services  and  (iv)  cargo  distribution and delivery        
    services  (by  rail, highway, sea and freight and by a combination of     
    all  such  means), (v) value- added services (including warehousing,      
    packaging  services and other services which can be provided by Total     
    Logistics).                                                               
                                                                              
    E-seg  Online shall not enter into any other cooperation agreement in     
    respect  of the provision of the same or similar services provided by     
    Total Logistics.                                                          
                                                                              
    4. Term: 3 years                                                          
    C. XIHU TRAILER VEHICLE LEASE CONTRACT                                    
    1. Parties: Xihu Trailer and Total Logistics                              
    (Xihu Trailer is 43.5% indirectly held by SIHC)                           
    2. Term: 3 years                                                          
                                                                              
    Xihu Trailer is principally engaged in the business of                    
    transportation and leasing/renting tow trucks.                            
                                                                              
    Xihu  Trailer  shall undertake to lease up to 180 tow trucks to Total     
    Logistics  at a rental varied according to the type of trucks and the     
    actual  number  of  trucks leased. Total Logistics is not obliged to      
    rent  any trucks from Xihu Trailer. The rental shall be determined at     
    the  time  of  the  tow  truck is leased and shall not exceed the         
    prevailing  market rental at that time. The rental shall be paid on a     
    monthly basis.                                                            
                                                                              
    The  right  to  lease trucks to Total Logistics is not exclusive to       
    Xihu  Trailer  and Xihu Trailer is not prohibited from leasing trucks     
    to other parties.                                                         
                                                                              
    D. SHENHUA TRANSPORTATION VEHICLE LEASE CONTRACT                          
    1. Parties: Shenhua Transportation and Total Logistics                    
    (Shenhua Transportation is 72.5% indirectly held by SIHC.)                
    2. Term: 3 years                                                          
                                                                              
    Shenhua  Transportation  is  principally engaged in the business of       
    transportation and leasing/renting tow trucks.                            
                                                                              
    Shenhua  Transportation  shall undertake to lease up to 60 tow trucks     
    and  not more than 20 highway bulk cargo trucks to Total Logistics at     
    a  rental varied according to the type of trucks and the actual number    
    of  trucks  leased. Total Logistics is not obliged to rent any trucks     
    from  Shenhua  Transportation. The rental shall be determined at the      
    time  of  the  trucks is leased and shall not exceed the prevailing       
    market  rental  at  that time. The rental shall be paid on a monthly      
    basis.                                                                    
                                                                              
    The  right  to  lease trucks to Total Logistics is not exclusive to       
    Shenhua  Transportation  and Shenhua Transportation is not prohibited     
    from leasing trucks to other parties.                                     
                                                                              
    E. SHENZHEN TRANSPORTATION VEHICLE LEASE CONTRACT                         
    1. Parties: Shenzhen Transportation and Total Logistics                   
    (Shenzhen Transportation is a wholly owned subsidiary of SIHC.)           
    2. Term: 3 years                                                          
                                                                              
    Shenzhen  Transportation  is  principally engaged in the business of      
    transportation and leasing/renting tow trucks.                            
                                                                              
    Shenzhen  Transportation shall undertake to lease up to 50 tow trucks     
    and  80  highway  bulk  cargo trucks to Total Logistics at a rental       
    varied  according  to  the  type of trucks and the actual number of       
    trucks  leased. Total Logistics is not obliged to rent any trucks from    
    Shenzhen  Transportation.  The rental shall be determined at the time     
    of  the  trucks is leased and shall not exceed the prevailing market      
    rental at that time. The rental shall be paid on a monthly basis.         
                                                                              
    The  right  to  lease trucks to Total Logistics is not exclusive to       
    Shenzhen  Transportation and Shenzhen Transportation is not prohibited
